Terms & Conditions
Standard commercial terms governing the sale of stock and custom-manufactured packaging by Paper Concepts, Mumbai.
The important bits
- By placing an order or requesting a quote, you agree to these terms.
- All sales are final — no returns, no refunds except in the limited defect / rejection scenarios described in Clause 14.
- Custom orders require a 50% advance and written approval of the mockup before production starts.
- Our liability is capped at the value of the order — we're not liable for lost profits or downstream damages.
- Disputes are governed by Indian law, seated in Mumbai, and resolved by arbitration.
1. Definitions
"Paper Concepts", "we", "our", "us" refers to the proprietorship trading as Paper Concepts at Shop No. 2/3, Londhe House, D'Lima Street, Dockyard Road, Mumbai — 400010. "Customer", "you", "your" refers to the business or individual placing an Order. "Product" means any packaging item we offer. "Custom Product" means a Product manufactured to your specification (bespoke size, printing, materials, artwork, etc.). "Order" means a confirmed request to purchase, evidenced by our written Order Confirmation. "Quote" means an estimate we issue. "MOQ" means Minimum Order Quantity. "Approval" means your written or emailed sign-off on a mockup, dieline, digital proof, or physical sample for a Custom Product.
2. Acceptance of these terms
By placing an Order, requesting a Quote, or using paperconcepts.in, you confirm that you have read, understood, and agreed to be bound by these Terms and by any Order Confirmation we issue. Any purchase order or terms you issue that conflict with these Terms are rejected unless we accept them in writing.
3. Eligibility
Our services are for businesses and individuals aged 18 or above who have legal capacity to enter into a binding contract. Where you act for a company, you represent that you have authority to bind that company.
4. Account registration
You are responsible for the accuracy of information you provide, for keeping your credentials confidential, and for all activity under your account. Notify us at info@paperconcepts.in if you suspect unauthorised use.
5. Product descriptions and availability
All Product images, descriptions, colour swatches, and dimensions on paperconcepts.in are indicative. Because our Products are made from natural paper and board:
- Colours, shades, and finishes may vary slightly between batches and lighting conditions.
- Handmade or hand-finished items contain minor variations inherent to the craft; these are not defects.
- We may substitute equivalent-grade materials of the same or higher quality where a specified material is temporarily unavailable.
6. Pricing and taxes
All prices are in Indian Rupees (INR), inclusive of GST at the prevailing rate unless otherwise stated. A tax invoice is issued for every Order. Prices displayed on the site or in a Quote may be revised at any time before an Order is confirmed. The price stated in the Order Confirmation is binding on both parties for that Order.
7. Minimum order quantity (MOQ)
Every Product has an MOQ published on the site or communicated in the Quote. Orders below the MOQ will not be processed.
8. Quotes
Quotes are valid for 15 days from the date of issue unless a different validity is stated on the Quote. After the validity period expires, pricing, lead times, and availability may be revised.
9. Order confirmation
A contract of sale is formed only when we issue a written Order Confirmation. Neither placement of an Order online nor receipt of payment by our payment processor constitutes acceptance of the Order. We reserve the right to reject any Order. Where an Order is rejected after payment has been received, we will refund the amount to the original payment source within 7 business days.
10. Payment terms
Payment is processed by Razorpay. We accept all methods supported by Razorpay (UPI, net banking, cards, wallets). Card details are handled entirely by Razorpay and are never stored by us.
- Stock Products: full payment on placing the Order.
- Custom Products: non-refundable advance of 50% of Order value to schedule production; balance payable before dispatch. Production does not begin until the advance is received and Approval is on record.
11. Custom product sign-off (Approval)
For every Custom Product we share a mockup, dieline, proof, or sample for your review. Production does not commence until you provide written Approval (an email reply confirming acceptance is sufficient). Once Approval is given, no changes to specification, artwork, colour, dimensions, or materials will be accepted. The production lead time runs from the date Approval is received.
You are solely responsible for verifying the correctness of the Approval material, including spellings, dimensions, colour codes (Pantone / CMYK), and regulatory markings. We are not liable for errors carried forward from an Approval you have signed off.
12. Lead time and delivery
Estimated production and delivery timelines are indicative only. The actual timeline is confirmed by email after Order Confirmation and, for Custom Products, after Approval. We are not liable for delays caused by circumstances beyond our reasonable control (see Clause 25 on Force Majeure). Time is not of the essence in respect of delivery unless expressly agreed in writing.
13. Shipping and risk of loss
Products are delivered to the address you provide. You are responsible for the accuracy and reachability of that address. Risk of loss or damage passes to you when we hand over the goods to the courier. Title remains with us until we receive full payment.
14. No returns, no refunds
All sales are final. Because our Products are manufactured on demand or supplied as bespoke items tied to your requirements, we do not accept returns and we do not issue refunds once an Order has been confirmed and payment received, save in the limited circumstances set out below.
The only circumstances in which a refund may be issued are:
- Where we reject an Order before production begins (Clause 9);
- Where the Product supplied is materially defective and the defect is reported in accordance with Clause 16, and where replacement is not commercially reasonable.
Change of mind, incorrect ordering, revised requirements after Approval, or any downstream event outside our control do not entitle you to a return or refund.
15. No cancellations after production begins
Stock Products: an Order may be cancelled without penalty only if the cancellation request is received in writing before dispatch and confirmed by us. Once dispatched, the Order cannot be cancelled.
Custom Products: an Order may be cancelled without penalty only before Approval is given. Any advance paid up to that point is refundable less our reasonable costs incurred, if any. Once Approval is given, the Order cannot be cancelled, and any advance already paid is forfeited.
16. Damages and defects
Please inspect Products immediately on receipt. If a Product is materially defective, damaged in transit, or does not conform to the approved specification, you must:
- Notify us at info@paperconcepts.in within 48 hours of receipt;
- Provide clear photographs of the defect, outer packaging, and courier documentation;
- Retain the affected units until we advise on next steps.
Where a claim under this clause is accepted, our sole obligation is, at our election, to replace the affected units at no additional cost or, where replacement is not commercially reasonable, to refund the value of the affected units only. We are not liable for consequential loss, missed launches, delayed customer commitments, or any loss beyond the value of the affected units. Claims received after 48 hours will not be accepted.
17. Delivery failures
If a delivery fails because the address is incorrect, the recipient is unavailable, delivery is refused, or the consignment is returned to us for any reason attributable to you, we may charge the cost of redelivery. Repeat failed deliveries may result in the Order being cancelled with no refund of amounts already paid.
18. Intellectual property — site
All content on paperconcepts.in — including photographs, illustrations, product designs, copy, code, and the "Paper Concepts" name and logo — is owned by us or licensed to us. You may not copy, reproduce, scrape, or exploit any of this content without our prior written consent.
19. Customer artwork and indemnity
Where you supply artwork, logos, or any creative material for use on a Custom Product, you represent and warrant that:
- You own the intellectual property in the material, or have full permission from the rights-holder to use it in the manner requested;
- The material does not infringe any third-party right, including copyright, trademark, design right, publicity, or personality right;
- The material does not violate any law or regulation.
You agree to indemnify and hold Paper Concepts harmless against any claim, demand, loss, or expense (including reasonable legal costs) arising from any third-party allegation that material you supplied infringes their rights.
20. Portfolio use
Unless you notify us otherwise in writing at the time of Order, we reserve a non-exclusive right to photograph, publish, and display finished Custom Products on paperconcepts.in, in our social media, and in printed marketing materials, to showcase our work. We will not disclose commercially sensitive details such as your order volumes or unit pricing. If you require full confidentiality, please state this in writing when placing the Order.
21. Confidentiality
Each party will keep confidential any commercial, technical, or personal information disclosed by the other in the course of an Order that is marked confidential or that a reasonable business person would treat as confidential, and will use such information only to perform its obligations under these Terms. This clause survives termination.
22. Warranty disclaimer
Except as expressly set out in these Terms, all Products are supplied "as is". We do not warrant that a Product will be suitable for any specific purpose beyond its ordinary intended use, nor that it will be free from minor variations inherent in its materials or manufacture. All implied warranties and conditions, to the maximum extent permitted by law, are excluded.
23. Limitation of liability
To the maximum extent permitted by law:
- Our total aggregate liability arising from or in connection with any Order or these Terms is capped at the value of the Order to which the claim relates (net of taxes);
- We will not be liable for any indirect, incidental, special, consequential, or punitive loss, including loss of profit, revenue, business, goodwill, or anticipated savings, whether or not such loss was foreseeable;
- Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by our negligence or for fraud.
24. Indemnification
You agree to indemnify, defend, and hold harmless Paper Concepts, its proprietors, employees, and agents from all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law; (c) your infringement of any third-party right (including as described in Clause 19); and (d) your misuse of any Product supplied.
25. Force majeure
We will not be liable for any failure or delay in performance arising from an event beyond our reasonable control, including: natural disasters, floods, fires, earthquakes; pandemics or epidemics; war, riot, civil disturbance; strikes or industrial action; acts or omissions of any government or regulatory authority; shortages of raw materials or transport; failures of the internet, courier networks, or payment systems; or any other event of a similar nature. Where a force majeure event continues for more than 60 days, either party may terminate the affected Order by written notice, and any advance paid will be refunded pro rata for work not yet performed.
26. Governing law
These Terms, and any dispute arising out of or in connection with them, are governed by and construed in accordance with the laws of the Republic of India.
27. Jurisdiction and arbitration
Subject to the arbitration provision below, the courts of Mumbai, Maharashtra shall have exclusive jurisdiction.
Any dispute arising out of or in connection with these Terms, including any question regarding existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai. The tribunal shall consist of a sole arbitrator appointed by mutual agreement, or failing agreement within 30 days, appointed under the Act. Proceedings shall be conducted in English.
28. Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
29. Amendments
We may amend these Terms from time to time by publishing an updated version on paperconcepts.in. Amendments take effect for Orders placed after the date of publication. Orders already confirmed remain governed by the version in force at the time the Order Confirmation was issued.
30. Entire agreement
These Terms, together with the Order Confirmation, any accompanying Quote, and our Privacy Policy, constitute the entire agreement between you and Paper Concepts and supersede any prior representations, oral or written. No oral variation or promise shall have any force unless expressly recorded in writing and signed by an authorised representative of both parties.
31. Notice
Any notice under these Terms must be in writing and delivered by email to info@paperconcepts.in (for notices to us) or to the email address on the Order Confirmation (for notices to you), with a copy by registered post to the recipient's address. Notices take effect on delivery.
32. Acceptable use of the site
You agree not to: (a) scrape, harvest, or extract data from paperconcepts.in by automated means; (b) attempt to gain unauthorised access to any part of our systems; (c) upload or transmit any virus, worm, or malicious code; (d) use the site for any purpose that is unlawful or fraudulent; (e) impersonate any other person or entity.
33. Third-party links and services
paperconcepts.in and our checkout flow may link to or route you through third-party sites and services, including Razorpay for payment and our courier partners for shipping. We are not responsible for the content, terms, or practices of any third-party site or service, and your use of those services is governed by their own terms.
34. Termination
We may suspend or terminate your access to paperconcepts.in and refuse to accept further Orders from you, at any time and without prior notice, where we reasonably believe you have breached these Terms, engaged in fraudulent activity, or otherwise conducted yourself in a manner harmful to us or our other customers.
